Contract Farming Terms and Conditions

THE FARMER’S OBLIGATIONS

  1. The farmer shall, at his own expense, furnish Geo BioAfrica with any, all and sufficient soil samples, which Geo BioAfrica may need or may deem to be necessary during the period of this agreement.
  2. The farmer shall compile a written report every week, which report the farmer will despatch via e-mail to Geo BioAfrica and provide a hard copy when inspection visits are done, relating to:
    • The progress, condition and quality of the essential oil containing plants being cultivated at that stage. For this purpose the farmer shall take at least two (2) photographs with a digital camera and despatch these via e-mail to Geo BioAfrica; and
    • Current meteorological, climate and weather conditions; and
    • the frequency of the irrigation and the amount of water administered each time the essential oil containing plants are irrigated, if at all; and
    • the administering of manure, fertiliser and any other organic and/or inorganic material to the soil in which the essential oil containing plants have been planted; and
    • the identification and administering of poison, herbicide and insecticide and other chemicals to the essential oil containing plants and/or the soil in which such plants have been planted; and
    • The frequency and the way in which labour is being applied to the essential oil containing plants and/or the soil in which such plants have been planted.
  3. The farmer shall follow and exactly apply all the guidelines, advice and proposals made by Geo BioAfrica relating to the maintenance, nurturing and watering of the essential oil containing plants as well as the treatment of the soil in which such plants have been planted.
  4. At the time of the planting of the relevant seed and/or seedlings, the farmer shall provide a tractor with a driver as well as all fuel needed for the planting of such seed and/or seedlings. The aforementioned tractor will be in a working condition and will be fitted with lights that work.
  5. The farmer shall be responsible for the harvesting of all plant material emanating from the relevant essential oil containing plants.
  6. In the event of the area in which the essential oil containing plants being in excess of 5 hectares, the farmer shall:
  7. At the time of the extraction process, provide a shed or “afdak” under which the extraction process will take place. The roof of the shed or “afdak” will be at least three (3) metres from the floor or the ground and the area covered by such roof will be at least fifty (50) square metres. Such shed or “afdak” shall have at least six (6) one hundred (100) watt lights equally spaced and in working order; and
  8. at the time of the extraction process provide fourteen thousand (14 000) litres of water per hour for a minimum of sixteen (16) hours per day; and
  9. At the time of the extraction process provide three phase electricity at 50 KVA, as well as a neutral and earth wire with a distributor board (also known as a DB Board). OR any other boiler fuel as requested by Geo BioAfrica in its sole and unfettered discretion. These may include but not be limited to Coal, Diesel, Wood or any carbon based fuel at the expense of the farmer.
  10. In the event of the area upon which the essential oil containing plants have been planted being less than 10 hectares, the farmers shall transport all the plant material, at his own expense, to the nearest extraction unit which will be used by Geo BioAfrica and pointed out to the farmer.
  11. At the time of the planting of seed and/or seedlings and the extraction of essential oils, the farmer shall provide habitable accommodation and board to the labourers and/or employees and/or representatives of Geo BioAfrica. Geo BioAfrica shall be entitled to, in its sole and unfettered discretion, determine whether the accommodation provided is fit for human habitation. If Geo BioAfrica is, in its sole and unfettered discretion, of the opinion that the accommodation provided is not fit for human habitation, it may refuse to perform any work until such time as suitable accommodation is provided.
  12. Without limiting the meaning and import of clause 4.8, the farmer hereby grants Geo BioAfrica and its employees, labourers, representatives and/or agents irrevocable and unconditional consent to enter the farmers’ farm on any day between 05:00 in the morning and 23:00 at night for the purposes of performing any obligation or exercising any right in terms of this agreement.
  13. The farmer shall take all such further reasonable steps, as requested by Geo BioAfrica from time to time, which will be necessary for the proper performance of this agreement.

GEO BioAFRICA’S OBLIGATIONS

  1. Geo BioAfrica shall obtain seed and/or seedlings of the recommended essential oil containing plants and plant such seed and/or seedlings in the allocated soil on the farmer’s farm.
  2. Geo BioAfrica shall constantly monitor the demand of the market and, based upon that, establish which type of essential oil containing plant must be planted.
  3. Geo BioAfrica shall provide the farmer with all guidelines, advice and proposals made by Geo BioAfrica relating to the maintenance, nurturing and watering of the essential oil containing plants as well as the treatment of the soil in which such plants have been planted.
  4. At the time of the planting of the seed and/or seedlings, Geo BioAfrica shall provide a planter as well as labourers who will plant the seed and/or seedlings.

  8. A BioAfrica sales person is positive and happy
  9. A BioAfrica sales person is serious about every sale and every customer.
  10. A BioAfrica sales person is organized and disciplined.
  11. A BioAfrica sales person sincerely cares about his or her clients.
  12. A BioAfrica sales person is always neat, clean, smells nice in clean clothes.
  13. A BioAfrica sales person shows confidence.
  14. A BioAfrica sales person always helps their customers and explains things properly.
  15. A BioAfrica sales person does not see a customer as a potential conquest.
The 11 commandments of a BioAfrica sales person
  1. Do not say something you know is not true (do dot lie). Always make sure your customers understand what you mean.
  2. Make sure there are no misunderstandings.
  3. Work hard for yourself, do your best at all times.
  4. Always be willing to trade a short-term loss for a long-term gain.
  5. Be reliable and always on time.
  6. Give good service to your customer and remember their name.
  7. Thank those who help you.
  8. Be a permanent learner and be a good member of the community.
  9. Never give up and lead when others don’t know how.
  10. Do not speak badly about anyone.
  11. Keep a list of all your customers with their cell numbers so that BioAfrica can send then SMS to remind them to buy from you in future
These are the different factors that interfere with our communication with our customers:
  • Noise: This could be physical noise in the environment or internal noise. Physical noise could be cars on the roads, people talking or even road works. Internal noise could be things that are occupying a persons mind. These noises both interfere with our communication.
  • Culture: Different cultural groups have different ways of doing things and they accept that their way is right. If a sales person does not know how different cultures work they risk loosing clients.
  • Stereotypes: This is a belief that all members of a particular group share a negative trait even if evidence proves this untrue.
  • Values: The customer might have values that are different from those of the sales person. It is better to steer clear of political or religious topics.
  • Experience: The customer might have had a bad experience with a different sale person or with a particular brand in the past.
  • Knowledge and Education: The sales person should educate the customers about the product. If a customer does not know your product he or she might feel uncomfortable about buying.
  • Language: Not everybody speaks English, as a sales person you must be able to communicate with your clients.
  • Attitude: This comes through previous experiences, good or bad. The sales person has to be able to make the customer feel comfortable.
  • Physical Appearance: A sales person is always neat. Customers feel more comfortable when buying from a neat and well groomed sales person. If a sales person has tattoos or any body piercing they should wear clothes that hide them.
  • Physical condition: If the sales person is tired, he or she will not be able communicate well with the customers.
  • Personal Hygiene: The sales person has to be clean and neat at all times. Wash daily and use proper deodorant and soap.
Good Business Ethics

Business Ethicists ask, “What is right or wrong, good or bad, harmful or helpful in your sales?” Business Ethics also have ways of noting possible problems and encouraging good behaviour whilst making sure rules are followed.

Generally speaking Business Ethics can be defined as the methods, principles and processes a business or sales person brings to bear on:

  • Obeying rules.
  • Keeping to regulatory and professional standards.
  • Keeping and obeying BioAfrica standards.
  • Keeping promises and commitments.
  • Obeying general principles or values e.g. Fairness, truth, honesty and respect.
  • Identifying new sales people and helping train them.
  • Being responsible for your actions.

GEO BioAFRICA’S OBLIGATIONs

  • BioAfrica will pay your commission into your bank account at the 2nd day for the new month provided that you deposited all your outstanding stock money into the BioAfrica account by the last business day for the month.
  • BioAfrica undertakes to send your stock to you within 24 hours of receiving a sms order form you. No other orders will be accepted.
  • BioAfrica will help you in all reasonable ways to sell as many units as possible.
